Terms of Service

These Terms of Service ("Terms") govern your access to and use of all content, products, and services made available by Oak Smart Technology Limited ("Oak Smart Technology", "us", "we", or "our") through this website and related engagements (collectively, the "Service").

Your access to our smart technology, integration, advisory, and related professional services is subject to your acceptance, without modification, of the terms and conditions set out here and any additional operating rules or policies we publish from time to time.

1. Services, Timelines, and Payment

Scope of services: We agree to provide smart technology services (including, for example, cloud and platform engineering, data and analytics, integration and automation, security advisory, IoT and connected operations, and transformation consulting) as described in a separate statement of work, order form, or services agreement, which will set out timelines, deliverables, dependencies, and responsibilities.

Timelines: We aim to meet agreed milestones for design, build, and transition phases. Delivery dates may shift when third-party approvals, client change requests, infrastructure constraints, or security reviews reasonably require adjustment. We will communicate material impacts promptly.

Payment terms: You agree to pay fees as specified in the applicable agreement. Recurring or managed-service fees are typically invoiced in advance of each service period. Third-party licences, cloud consumption, or vendor charges may be billed separately or passed through as agreed in writing. We may suspend or terminate services for non-payment in line with the contract.

2. Intellectual Property

Except as expressly agreed in writing, these Terms do not transfer to you any intellectual property rights belonging to Oak Smart Technology Limited, our licensors, or third parties. Pre-existing materials, methodologies, tools, and reusable components remain ours, subject to any licence granted in your statement of work. Deliverables identified as bespoke work product may be assigned as set out in that document, typically upon receipt of full payment. Materials you provide remain your property, and you warrant that you have the rights needed for us to use them in delivering the Service.

3. Client responsibilities

You will provide timely access to stakeholders, systems, documentation, test environments, and approvals reasonably required for us to perform the services. You are responsible for the accuracy and legality of data and content you supply, for maintaining appropriate backups, and for decisions taken on the basis of our recommendations or deliverables.

4. Termination

Unless your agreement states otherwise, either party may terminate an ongoing engagement with written notice as specified in that agreement. We may suspend or terminate access to the Service or specific workstreams where there is a material breach, including non-payment or misuse of our systems or confidential information.

Provisions that by their nature should survive (including intellectual property, confidentiality, disclaimers, indemnities, and limitations of liability) will survive termination.

5. Disclaimer of warranties

Except where prohibited by law, the Service and any information on this site are provided on an "as is" and "as available" basis. Oak Smart Technology Limited and its suppliers disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted. We do not warrant uninterrupted or error-free operation of any platform or that a particular business outcome will be achieved, as technology environments and external factors lie partly outside our control.

6. Limitation of liability

To the maximum extent permitted by applicable law, Oak Smart Technology Limited and its suppliers will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for loss of profits, goodwill, data, or business interruption, arising out of or related to these Terms or the Service. Our total aggregate liability arising out of or relating to a specific engagement will not exceed the fees paid to us for that engagement in the twelve (12) months preceding the claim, except where liability cannot be limited by law.

7. Jurisdiction and applicable law

Unless mandatory local law provides otherwise, these Terms and any dispute arising from them or from the Service are governed by the laws of England and Wales, and the courts of England and Wales will have non-exclusive jurisdiction, without prejudice to any rights you may have as a consumer.

8. Changes

Oak Smart Technology Limited may update these Terms from time to time. Where changes are material, we will take reasonable steps to notify you, such as posting an updated version on this site with a revised effective date. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms, except where your separate written agreement prevails.
